1. Acceptance of Terms

By accessing or using the website located at coepi.co (the “Site”), operated by Coepi LLC (“Coepi,” “we,” “us,” or “our”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you must not access or use the Site.

Coepi provides AI automation, creative systems, performance marketing, and digital infrastructure services for businesses (“Services”). The Site serves as an informational resource about our Services and a means for prospective clients to contact us. Specific service engagements are governed by separate service agreements between Coepi and its clients.

3. Eligibility

You must be at least 18 years of age to use this Site. By using the Site, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Intellectual Property Rights

All content on the Site — including but not limited to text, graphics, logos, images, software, and the overall design and arrangement — is the property of Coepi LLC or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws.

  • Use our trademarks, trade names, or logos in any manner that suggests endorsement or affiliation

THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION PROVIDED ON OR THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, COEPI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COEPI LLC, ITS OWNER, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR ANY CONTENT, REGARDLESS OF THE THEORY OF LIABILITY.

Our total aggregate liability for any claims arising out of or relating to these Terms or the Site shall not exceed one hundred dollars ($100.00).

10. Indemnification

You agree to indemnify, defend, and hold harmless Coepi LLC and its owner, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction and venue of such courts.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any modification constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole. Such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Coepi regarding your use of the Site and supersede all prior agreements and understandings, whether written or oral, regarding the same subject matter.
